Welcome to Audit Wrangler (accessible via https://auditwrangler.nl/). These Terms of Use ("Terms") govern your access to and use of our website, services, and any related features (collectively, the "Services"). The Services are provided by Audit Wrangler, a company based in the USA, to assist accounting and auditing professionals in analyzing XAF (XML Audit Files) files, including functionalities such as file analysis, aggregations, drill-down capabilities, bookmarking, and PDF report generation.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. We may update these Terms from time to time, and we will notify you of material changes by posting the updated Terms on the website. Your continued use after such changes constitutes acceptance of the revised Terms.

1. Eligibility

  • Use automated tools (e.g., bots, scrapers) to access the Services without permission.
  • Overload or disrupt the Services (e.g., denial-of-service attacks).
  • Impersonate others or provide false information.
  • Use the Services to transmit spam, unsolicited communications, or infringing content.
  • Violate the privacy or rights of third parties.

We reserve the right to monitor usage and take action against violations, including suspending access.

3. Uploaded Content and Data

When you upload XAF files or other data ("User Content"), you retain ownership of it. However, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and analyze your User Content as necessary to provide the Services (e.g., generating reports).

You represent and warrant that:

  • You have all necessary rights to upload and process the User Content.
  • The User Content does not infringe third-party rights or violate laws.
  • If the User Content contains personal data, you have obtained required consents and comply with data protection laws.

We are not responsible for the accuracy, legality, or security of your User Content. Uploaded files are processed securely but deleted after a reasonable period (as detailed in our Privacy Statement).

4. Intellectual Property

The Services, including software, designs, text, graphics, and features, are owned by Audit Wrangler or our licensors and protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, distribute, or create derivative works from the Services without our written consent.
  • Remove or alter any proprietary notices.

We grant you a limited, non-transferable, revocable license to access and use the Services for your personal or professional use, subject to these Terms.

5. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

  • The Services will be error-free, uninterrupted, or secure.
  • Results from analysis will be accurate or complete (always verify outputs professionally).
  • The Services will meet your specific requirements.

Use the Services at your own risk. We are not liable for any decisions made based on analysis results.

6. Limitation of Liability

To the fullest extent permitted by law, Audit Wrangler, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services, even if advised of the possibility of such damages.

Our total liability for any claim shall not exceed the amount you paid us (if any) in the preceding 12 months. This limitation applies regardless of the legal theory (contract, tort, etc.).

Nothing in these Terms excludes liability for gross negligence, willful misconduct, or other matters that cannot be limited under applicable law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Audit Wrangler and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your User Content.
  • Violation of these Terms or applicable laws.

8. Termination

We may terminate or suspend your access to the Services at any time, without notice, for any reason, including violation of these Terms.

Upon termination:

  • Your right to use the Services ends immediately.
  • We may delete your User Content.

Sections that by nature survive termination (e.g., disclaimers, limitations of liability) will continue to apply.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located within the State of Delaware. You agree to submit to the personal jurisdiction of such courts.

10. Miscellaneous

  • Severability: If any provision of these Terms is held invalid, the remainder remains in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver.
  • Entire Agreement: These Terms, along with our Privacy Statement, constitute the entire agreement between you and us.
  • Assignment: We may assign these Terms without your consent; you may not assign without our written approval.
